ON Semiconductor acquires Aptina for $400 million.

The acquisition of Aptina will significantly expand ON Semiconductor’s image sensor business and establish the company’s leading position in the rapidly growing image sensor segment for automotive and industrial semiconductor markets. According to a report by independent market research firm TSR, demand for image sensors in automotive and industrial applications is expected to grow at a compound annual growth rate of 16% from 2013 to 2016.

The acquisition of Aptina will significantly expand ON Semiconductor’s image sensor business and establish the company’s leading position in the rapidly growing image sensor segment for automotive and industrial semiconductor markets. According to a report by independent market research firm TSR, demand for image sensors in automotive and industrial applications is expected to grow at a compound annual growth rate of 16% from 2013 to 2016.

“By acquiring Aptina, we’re combining Aptina’s outstanding imaging technology with our extensive sales network and robust operational capabilities to accelerate our growth in end markets such as automotive and industrial applications,” said Keith Jackson, President and CEO of ON Semiconductor. “Aptina’s addition significantly expands our scale and capabilities in the image sensor market and solidifies our position as a leader in both the image sensor industry and automotive-related applications. I’m delighted that this transaction has created exciting opportunities for both companies.”

According to unaudited financial results, as of May 29, 2014, Aptina’s revenue for the past 12 months was approximately US$532 million, with gross and operating profit margins of 29% and 3%, respectively. This acquisition has been approved by the boards of directors of ON Semiconductor and Aptina and is expected to be completed within the third quarter of 2014.
